Two adults and one young adult were on board the boat when it started taking on water near Little Barrier Island about 6pm on Friday.
Those on board were wearing lifejackets and managed to swim to another vessel nearby.
The sinking boat then caught fire and was "fully engulfed in flames" when the Auckland Westpac Rescue Helicopter crew arrived.
